1. Agreement to Terms

By accessing or using VeriShelf's services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access the service.

2. Description of Service

VeriShelf provides enterprise shelf expiry management software that enables retail chains to:

• Track product expiry dates across multiple locations
• Receive automated alerts for expiring products
• Manage inventory and compliance documentation
• Generate reports and analytics

3. Account Registration

To use our service, you must:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be at least 18 years old or have parental consent

4. Subscription and Payment

4.1 Subscription Plans

We offer subscription plans with different features and pricing. All subscriptions are billed monthly in advance based on the number of locations.

4.2 Payment

Payments are processed securely through Stripe. You agree to provide current, complete, and accurate payment information.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

5. Acceptable Use

You agree not to:

• Use the service for any illegal purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the service
• Reverse engineer or attempt to extract source code
• Use automated systems to access the service without permission
• Share your account credentials with unauthorized parties

6. Intellectual Property

The service and its original content, features, and functionality are owned by VeriShelf and are protected by international copyright, trademark, and other intellectual property laws. You retain ownership of data you upload, but grant us a license to use it to provide the service.

7. Service Availability

We strive to maintain 99.99% uptime but do not guarantee uninterrupted service. We may:

• Perform scheduled maintenance with advance notice
• Experience unscheduled downtime due to technical issues
• Modify or discontinue features with reasonable notice

8. Limitation of Liability

To the maximum extent permitted by law, VeriShelf shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the service.

9. Indemnification

You agree to defend, indemnify, and hold harmless VeriShelf from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the service or violation of these terms.

10. Termination

We may terminate or suspend your account immediately, without prior notice, for:

• Violation of these Terms of Service
• Non-payment of fees
• Fraudulent or illegal activity
• At our sole discretion, with or without cause

11. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of material changes via email or through the service. Continued use after changes constitutes acceptance of the new terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
